Terms of Use

Epoxy, Inc. (“Epoxy”) welcomes you to its website and to its Services.  By using our Services or visiting our website, you are agreeing to the following terms and conditions as well as the Epoxy Privacy Policy.  If you do not agree to any of these terms, then please do not use our website, products or services (collectively our “Services”) as your continued use shall constitute your acceptance of our Terms of Use and Privacy Policy.  Should you object to any term or condition in our Terms of Use and Privacy Policy or any subsequent modifications thereto or become dissatisfied with Epoxy in any way, your only recourse is to immediately discontinue use of the Services.

Epoxy provides a collection of online resources and any unauthorized attempts to upload information or change information is strictly prohibited and may be punishable under the Computer Fraud and Abuse Act of 1986. These Terms of Use apply to all users of Epoxy’s Services, including users who are also contributors of any content, photographs, articles, information, and other materials or services. These Services may contain links to third-party’s and/or their websites that are not owned or controlled by Epoxy. Epoxy has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party. In addition, Epoxy will not and cannot censor or edit the content of any third-party’s services. By using our Services, you expressly assume individual responsibility and relieve Epoxy from any and all liability arising from your use of any third-party services. Epoxy hereby grants you permission to use our Services provided that you do not copy or distribute any part of our Services without Epoxy’ prior written authorization, and you otherwise comply with the terms and conditions of these Terms of Use.

Intellectual Property Rights

All Services, except all User Submissions (as defined herein), including without limitation, text, data, graphics, logos, button icons, images, audio, video, software, photographs, graphs, typefaces and other materials which are or may be included as a part of the Services (the “Content”) and the trademarks, service marks and logos contained therein (the “Marks”), are the property of Epoxy and are protected by copyrights, trademarks, trade secrets and/or other proprietary rights. The compilation of all the content on this site and within Epoxy’s products is the exclusive property of Epoxy and is protected by U.S. and international copyright laws. Content accessible through our Services is provided to you “AS IS” for your information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. Epoxy reserves all rights not expressly granted in and to the Content. You agree to not engage in the use, copying, or distribution of any of the Content or Marks other than as expressly permitted by Epoxy. 

Use and Protection of Password and ID

Portions of our Services may require you to open an account.  Accordingly, Epoxy may assign users a password and account ID.  In order to obtain a password and account ID you must complete the registration process by providing us with current, complete and accurate information as prompted by the applicable registration form. Epoxy shall have no obligation to investigate the source of any information provided. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. Quite simply, you will be responsible for any activity conducted under your assigned password or ID. You agree to notify Epoxy immediately of any unauthorized use of your account or any other breach of security. Epoxy will not be liable for any loss or damages that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you may be held liable for losses incurred by Epoxy or another party due to someone else using your account or password. It is the express policy of Epoxy that you may not use anyone else’s account at any time, without the Written permission of the account holder. However, YOU ACKNOWLEDGE AND AGREE THAT AS BETWEEN YOU AND Epoxy, YOU WILL BE SOLELY RESPONSIBLE FOR ALL ACCESS TO AND USE OF OUR Services BY ANYONE USING THE PASSWORD AND ID ASSIGNED TO YOU WHETHER OR NOT SUCH ACCESS TO AND USE OF OUR Services IS OR WAS ACTUALLY AUTHORIZED BY YOU, INCLUDING ALL COMMUNICATIONS AND TRANSMISSIONS AND ALL OBLIGATIONS (INCLUDING FINANCIAL OBLIGATIONS FOR PURCHASES THROUGH THE Services) THAT MAY RESULT FROM SUCH ACCESS OR USE.

Termination

The products, content, information and services included in or accessed through our Services are provided on an “As Is” basis without warranty of any kind and are provided on a subscription basis.  As such, following any termination you understand that you will be responsible for any payments due and owing for the remaining term of your subscription and that all amounts paid are non-refundable.  Further, you agree and understand that following the termination of any Services Epoxy can, at its sole discretion, elect to allow you to timely use up any Rewards and Store Credits and you understand that such Rewards and Store Credits are non-transferrable at any time.

You may terminate your account at any time by sending an e-mail to us at info@Epoxyapp.com. You further agree that Epoxy, in its sole discretion, has the right (but not the obligation) to delete or deactivate your account, block your email or IP address, or otherwise terminate your access to or use of the Service (or any part thereof), immediately and without notice, and remove and discard any content within the Services, for any reason including, without limitation, breach or assignment of these Terms of Use.

Additionally, upon the expiration of thirty (30) days after the commencement of service, you agree that Epoxy, in its sole discretion, has the right (but not the obligation) to delete or deactivate your account, block your email or IP address, or otherwise terminate your access to or use of the Services (or any part thereof), immediately and without notice, and remove and discard any content within the Services, for your failure to utilize the Services at a minimum level. Such minimum level shall be defined as a minimum of one (1) new customer per week. In the event of a termination of your access to the Services for failure of use during a free trial period, you agree to forego the free trial period and pay to Epoxy the then standard monthly rate for access to the Services. Further, you agree that Epoxy shall not be liable to you or any third-party for any termination of your access to the Services. Further, you agree not to attempt to use the Services after said termination. 

Default Offer

You agree to select a “default offer” upon commencement of the license to use the Services as set forth herein. The “default offer” shall be an offer created by you, and shall automatically post to the Services if and when you do not have any other active offers posted. You further agree to honor said “default offer” at any time so presented for redemption by any customer, whenever said “default offer” is in effect. (Should we switch this to Reward? Or does it matter?)

User Submissions

Our Services permit appropriate user submissions which may include, but is not limited to, videos, photographs, comments, or other communications (“User Submissions”) and the hosting, sharing, and publishing of appropriate User Submissions. However, Epoxy does not guarantee the publication or confidentiality of any User Submissions.

You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and/or warrant that: (i) you own or have the necessary licenses, rights, consents, and permissions to use and authorize Epoxy to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by these Terms of Use; and (ii) you have the necessary consent, release, and/or permission of each and every identifiable individual in the User Submission to use their name or likeness and have been authorized to include such name or likeness in your User Submissions and that such use is consistent with the manner contemplated by these Terms of Use. You retain all of your ownership rights in your User Submissions. However, by submitting the User Submissions to Epoxy, you hereby unconditionally and without monetary compensation grant Epoxy a perpetual, worldwide, non-exclusive, royalty-free, sublicenseable and transferable right and license to use, host, cache, route, transmit, store, copy, reformat, excerpt, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with our Services and Epoxy’ business, including without limitation for promoting and redistributing part or all of our Services in any media formats and through any media channels. You hereby grant Epoxy a perpetual, non-exclusive, worldwide, royalty free license to use your name in connection with your User Submissions.  This license gives Epoxy the right to display your User Submissions in any form including, but not limited to, print form, streaming and/or downloading technologies via the internet or mobile communication devices for fee or no fee to the end user, and Epoxy reserves the right to display advertisements in connection with any display of your User Submissions.  Epoxy further reserves the right to display and use any and all User Submissions for it publication, marketing, promotional, and advertising purposes.

Notwithstanding the foregoing, Epoxy is not required to host, index, or display any User Submissions uploaded or otherwise provided to Epoxy, and may remove or refuse to host, index or display any User Submissions.  Epoxy is not responsible for any loss, theft, intellectual property infringement or damages of any kind related to the User Submissions.

You further agree that you will not: (i) impersonate another person; (ii) submit material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or that encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; (iii) post advertisements or solicitations of business; or (iv) submit material that is copyrighted, a protected  trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from the rightful owner to post the material and to grant Epoxy all of the license rights granted herein. 

Epoxy does not endorse any User Submission or any opinion, recommendation, or advice expressed therein, and Epoxy expressly disclaims any and all liability in connection with User Submissions. Epoxy does not permit copyright infringing activities and infringement of intellectual property rights through our Services, and Epoxy will remove all Content and User Submissions if properly notified that such Content or User Submission infringes on another’s intellectual property rights. Epoxy reserves the right to remove Content and User Submissions without prior notice. 

You acknowledge that Epoxy may or may not pre-screen User Submissions, but that Epoxy and its designees shall have the right, but not the obligation, in its sole discretion to pre-screen, refuse, or remove any User Submissions. Without limitation, Epoxy and its designees shall have the right to remove any User Submissions that violate these Terms of Use, its Privacy Policy or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any User Submissions, including any reliance on the accuracy, completeness, or usefulness of such User Submissions. In this regard, you acknowledge that you may not rely on any User Submissions created by Epoxy or submitted to Epoxy, including, without limitation, information in Epoxy’ message boards and in all other parts of our Services.  

You acknowledge, consent and agree that Epoxy may access, preserve and disclose your account information and User Submissions if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (i) comply with legal process; (ii) enforce the Terms of Use; (iii) respond to claims that any User Submissions violates the rights of third parties; (iv) respond to your requests for customer service; or (v) protect the rights, property or personal safety of Epoxy, its users and the public.

Reviews

You may and are encouraged to provide Reviews.  However, Reviews that are below 4-Star ratings will not be posted for up to 48 hours in order to allow a merchant to engage with the user through the Services to respond and resolve any and all issues. Thereafter, Epoxy can determine whether to post the review as originally provided by the user, post the review as modified following resolution, or delete the review. 

Third Party Content, Sites, and Services

The Services may contain features and functionalities that may link you or provide you with access to third party content which is completely independent of Epoxy including web sites, directories, servers, networks, systems, information and databases, applications, software, programs, products or services, and the Internet as a whole.

Your interactions with organizations and/or individuals found on or through the Services, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations and/or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third-parties.

You agree that Epoxy, Inc. shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between participants on this site, or between users and any third-party, you understand and agree that Epoxy, Inc. is under no obligation to become involved. In the event that you have a dispute with one or more other users, you hereby release Epoxy, its officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and/or our Services. 

Posting Agents

A “Posting Agent” is a third-party agent, service, or intermediary that offers to post content on behalf of others. To moderate demands on Epoxy’s resources, you may not use a Posting Agent to post content to the Services without the express permission or license from Epoxy. Correspondingly, Posting Agents are not permitted to post content on behalf of others, to cause content to be so posted, or otherwise access the Services to facilitate posting content on behalf of others, except with express permission or license from Epoxy.

Claims of Copyright Infringement

Epoxy respects the intellectual property rights of others.  Thus, if you are a copyright owner and believe that any User Submission or other content infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act (“DMCA”) by providing sending an email to info@eppoxyapp.com with the following information consistent with 17 U.S.C 512(c)(3): 

(i) A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

(ii) Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;

(iii) Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit the service provider to locate the material;

(iv) Information reasonably sufficient to permit the service provider to contact you, such as an address, telephone number, and, if available, an electronic mail;

(v) A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and

(vi) A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

UNDER FEDERAL LAW, IF YOU KNOWINGLY MISREPRESENT THAT ONLINE MATERIAL IS INFRINGING, YOU MAY BE SUBJECT TO CRIMINAL PROSECUTION FOR PERJURY AND CIVIL PENALTIES, INCLUDING MONETARY DAMAGES, COURT COSTS, AND ATTORNEYS’ FEES. 

Please note that this procedure is exclusively for notifying Epoxy that your copyrighted material has been infringed. The preceding requirements are intended to comply with Epoxy’ rights and obligations under the DMCA, but do not constitute legal advice. In accordance with the DMCA and other applicable law, Epoxy has adopted a policy of terminating, in appropriate circumstances and at Epoxy’ sole discretion, members who are deemed to be repeat infringers. Epoxy may also at its sole discretion limit access to and/or terminate the member accounts of any Users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

User Conduct

By using, viewing or accessing the Epoxy Services, you expressly agree to not use the Services to: 

i) upload, post, email, transmit or otherwise make available any User Submissions that are unlawful, harmful, threatening, pornographic, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable; 

ii) impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity; 

iii) forge headers or otherwise manipulate identifiers in order to disguise the origin of any User Submissions; 

iv) upload, post, email, transmit or otherwise make available any User Submissions that you do not have a right to make available under any law or under any contractual or fiduciary relationship; 

v) upload, post, email, transmit or otherwise make available any User Submissions that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party; 

vi) upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” “multilevel marketing,” or any other form of solicitation; 

vii) upload, post, email, transmit or otherwise make available any material that may contain software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

viii) interfere with or disrupt our website, servers, or networks connected to our website, or disobey any requirements, procedures, policies or regulations of networks connected to our website; 

ix) intentionally or unintentionally violate any applicable local, state, national or international law; and/or “stalk,” “prey upon,” “bully,” “intimidate” or otherwise harass another;

x)  collect content or information, or otherwise access Epoxy, using automated means (such as harvesting bots, robots, spiders, or scrapers) without prior written permission.

Prohibited Uses

As a condition of your use of our Services, you agree that you will not use our Services for any purpose that is unlawful or prohibited by these Terms of Use. You may not use our Services in any manner that could damage, disable, overburden, or impair any Epoxy’ server, or the network(s) connected to any Epoxy’ server, or interfere with any other party’s use and enjoyment of our Services. You may not attempt to gain unauthorized access to our Services, other accounts, computer systems or networks connected to any Epoxy’ server or our Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through our Services.

No Spam Policy

You understand and agree that sending unsolicited email advertisements to Epoxy email addresses or through Epoxy computer systems is expressly prohibited. Any unauthorized use of Epoxy computer systems is a violation of these Terms of Use and certain federal and state laws, including without limitation the Computer Fraud and Abuse Act (18 U.S.C. § 1030 et seq.), as well as applicable State statutes and regulations. Such violations may subject the sender and his or her agents to civil and criminal penalties.

Assignment

These Terms of Use, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned only by Epoxy without restriction.

Warranty Disclaimer

YOU AGREE THAT YOUR USE OF THE SERVICES SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, EPOXY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF. EPOXY MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THIS SITE’S CONTENT OR THE CONTENT OF ANY SITES LINKED TO THIS SITE AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICES; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES; (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY; AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE EPOXY SERVICES. EPOXY DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE EPOXY SERVICES OR ANY HYPERLINKED WEBSITE OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND EPOXY WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

Limitation of Liability

IN NO EVENT SHALL EPOXY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICES; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES; (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY; AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE EPOXY SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. 

YOU SPECIFICALLY ACKNOWLEDGE THAT EPOXY SHALL NOT BE LIABLE FOR USER SUBMISSIONS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU. 

Our Services are controlled and offered by Epoxy from its facilities in the United States of America. Epoxy makes no representations that our Services are appropriate or available for use in other locations. Those who access or use our Services from other jurisdictions do so at their own risk and are responsible for compliance with local law. 

Indemnity

By using, viewing or accessing Epoxy Services, you agree to indemnify and hold Epoxy and its officers, directors, agents, subsidiaries, joint ventures and/or employees, harmless from any claim or demand, including attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Use or the Epoxy Privacy Policy, or your violation of any law or the rights of a third-party.

California Residents

If you are a California resident, then in connection with releases or other obligations set forth herein, you hereby waive California Civil Code Section 1542 (and any similar provision in any other jurisdiction) which states: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor.” 

Advertisers or Sponsors

Your correspondence or business dealings with, or participation in promotions of, advertisers or sponsors found on or through our Services, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser or sponsor. You agree that Epoxy shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers or sponsors on our Services.

Violation Of Terms And Liquidated Damages

Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches.

You understand and agree that, because damages are often difficult to quantify, if it becomes necessary for Epoxy to pursue legal action to enforce these Terms of Use, you will be liable to pay Epoxy the following amounts as liquidated damages, which you accept as reasonable estimates of Epoxy’s damages for the specified breaches:

(i) If you post a message that (1) impersonates any person or entity; (2) falsely states or otherwise misrepresents your affiliation with a person or entity; or (3) that includes personal or identifying information about another person without that person’s explicit consent, you agree to pay Epoxy one thousand dollars ($1,000) for each such message. This provision does not apply to content which constitutes lawful non-deceptive parody of public figures.

(ii) If Epoxy establishes limits on the frequency with which you may access the Services, or terminates your access to or use of the Services, you agree to pay Epoxy one hundred dollars ($100) for each message posted in excess of such limits or for each day on which you access Epoxy in excess of such limits, whichever is higher.

c) If you post Content in violation of these Terms of Use or other than as described above, you agree to pay Epoxy one hundred dollars ($100) for each Item posted. In its sole discretion, Epoxy may, but is not obligated too, elect to issue a warning before assessing damages.

(III) If you are a Posting Agent that uses the Services in violation of these Terms of Use, in addition to any liquidated damages hereunder, you agree to pay Epoxy one hundred dollars ($100) for each and every Item you post in violation. A Posting Agent will also be deemed an agent of the party engaging the Posting Agent to access the Services (the “Principal”), and the Principal (by engaging the Posting Agent in violation of these Terms of Use) agrees to pay Epoxy an additional one hundred dollars ($100) for each Item posted by the Posting Agent on behalf of the Principal.

(IV) If you aggregate, display, copy, duplicate, reproduce, or otherwise exploit for any purpose any content (except for your own content) in violation of these Terms of Use without Epoxy express written permission, you agree to pay Epoxy three thousand dollars ($3,000) for each day on which you engage in such conduct.

Notwithstanding the foregoing, Epoxy may, in its sole discretion, elect to collect actual damages, to the extent such actual damages can be reasonably calculated. Notwithstanding any other provision herein, Epoxy retains the right to seek the remedy of specific performance of any term contained in herein, or a preliminary or permanent injunction against any breach of any such term or in aid of the exercise of any power granted in hereunder, or any combination thereof.

Modifications

Epoxy reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, our Services, or any part thereof, with or without notice. You agree that Epoxy shall not be liable to you or to any third party for any modification, suspension or discontinuance of any service.  Likewise, we reserve the right, at our sole discretion, to change, modify or otherwise alter the terms and conditions or our Terms of Use or Privacy Policy. Such modifications shall become effective immediately upon the posting thereof. You must review the agreements on a regular basis to keep yourself apprised of any changes.

General

By using, viewing or accessing Epoxy’s Services, you agree that: (i) our Services shall be deemed solely based in Nevada; and (ii) our website and associated Services is a passive website that does not give rise to personal jurisdiction over Epoxy, either specific or general, in jurisdictions other than Nevada. These Terms of Use shall be governed by the internal substantive laws of the State of Nevada, without respect to its conflict of laws principles. Venue for any legal action concerning any claim or dispute between you and Epoxy that arises in whole or in part from our Services or any other transaction between you and Epoxy shall lie exclusively in the Eighth Judicial District Court, Clark County, Nevada, and by using, viewing and/or accessing the Epoxy Services you expressly consent to jurisdiction and venue in such court. These Terms of Use, together with the Epoxy Privacy Policy and any other legal notices published by Epoxy on our website, shall constitute the entire agreement between you and Epoxy concerning our website. If any provision of these Terms of Use or the Epoxy Privacy Policy is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions therein, which shall remain in full force and effect. No waiver of any term of this these Terms of Use or the Epoxy Privacy Policy shall be deemed a further or continuing waiver of such term or any other term, and Epoxy’ failure to assert any right or provision under these Terms of Use or the Epoxy Privacy Policy shall not constitute a waiver of such right or provision. Epoxy reserves the right to amend these Terms of Use or the Epoxy Privacy Policy at any time and without notice, and it is your responsibility to review these Terms of Use or the Epoxy Privacy Policy for any changes. Epoxy Inc. (“Epoxy”) respects the privacy of every visitor to its website and any person using its Services.  Your privacy is a priority, and we at Epoxy go to great lengths to protect it.  This Privacy Policy (the “Policy”) explains our online information practices.  The use of our Services is governed by the Epoxy Terms of Use and the policies, terms and conditions set forth below. You may, however, visit our website anonymously.

How Epoxy Uses Your Information

Information gathered when you visit our website or use our Services allows Epoxy to personalize your experience, improve our website, improve our customer service, process transactions, administer contests, promotions, surveys or other site feature, and to send periodic emails.  If provided to us, we may enter your name into one of our databases so we can contact you to obtain your input, or provide you with information about our programs and events. Location-Based Services

The Services may provide location-based services and, as such Epoxy and our partners may collect, use, and share precise location data, including the real-time geographic location of your computer or device. Where available, location-based services may use GPS, Bluetooth, and your IP Address, along with crowd-sourced Wi-Fi hotspot and cell tower locations, and other technologies to determine your devices’ approximate location. Unless you provide consent, this location data is collected anonymously in a form that does not personally identify you and is used by Epoxy to provide and improve location-based products and services. 

How We Use Cookies

We send “cookies” to your computer and use other technologies to enhance your online experience. A “cookie” can be either permanent (i.e., it remains on your computer until you delete it) or temporary (i.e., it lasts only until you close your browser). A “cookie” is a small text file that helps us recognize repeat visitors, facilitate the visitor’s ongoing access to and use of the Services, and track usage behavior and compile aggregate data that can lead to improvements. If you do not want information collected through the use of cookies, you can deny or accept the cookie feature using a simple procedure available in most browsers. If you block cookies, however, you may lose some functionality. –We may also use cookies in the mobile application to remember their session and prevent them from having to login repeatedly

Credit Card Information

Epoxy uses a variety of safeguards to protect the security of your credit card transactions.  We use technologies and processes such as encryption, access controls, network firewalls, physical security and other measures.  These measures make it extremely difficult for anyone to intercept the credit card information you send to us.  When we work with other companies to process credit card transactions, those companies also use encryption and other security measures. – We don’t store any CC information on our server (wasn’t sure if this mattered here)

Edit and Delete Account Information and Preferences

Registered users can edit their account information, including contact preferences, at any time. Epoxy may, from time to time, send you e-mail regarding our products and services and third party products and services that may be of interest to you. You will have the opportunity to opt out of any further mailings at any time; provided, however, that we reserve the right to send you communications relating to: (i) fulfilling a transaction; (ii) service announcements, (iii) notices regarding our Terms of Use and this Privacy Policy; and (iv) administrative messages. You can delete your account by requesting an account deletion via email to info@Epoxyapp.com. You must provide us with the email address of the registered account. After we have confirmed your request via email, we will remove access to your personal information from our user database.

Children’s Online Privacy Protection Act Compliance 

We are in compliance with the requirements of COPPA (Childrens Online Privacy Protection Act), we do not knowingly collect any information from anyone under 13 years of age. Our Services are all directed to people who are at least 13 years old or older.

The Epoxy Services are designed for use by U.S. residents.
